Terms of Service

These Terms of Service ("Terms") govern your access to and use of Assertify's website, web application, and related services (collectively, the "Service"), operated by Assertify ("we", "our", or "us"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

2. Your Account

• You're responsible for keeping your login credentials secure.
• You're responsible for all activity that occurs under your account.
• Notify us immediately at security@assertify.co if you suspect unauthorised access.
• One person (or one organisation account) per workspace, unless a paid plan explicitly grants seats for additional users.

3. Plans and Billing

• Free tier. Limited features and quotas as described in the Service. We may change Free-tier limits with reasonable notice.
• Paid plans. Subscription fees are billed monthly or annually in advance via Stripe. Plans renew automatically until cancelled.
• Cancellation. You can cancel any time from your account settings. Cancellation stops future renewals; access continues through the end of the paid period.
• Refunds. Paid subscriptions are non-refundable except where required by applicable law. We may, at our discretion, prorate refunds for service outages.
• Price changes. We'll give at least 30 days' notice before any price increase takes effect at your next renewal.

4. Acceptable Use

You agree not to:

• Use the Service to test or attack any system, application, or account you do not own or have explicit permission to test.
• Run tests against high-volume targets in a way that constitutes denial-of-service or that violates the target's terms of use.
• Use the Service to scrape, copy, or systematically collect content from any third-party site for purposes the target site forbids.
• Upload malware, illegal content, content that infringes intellectual-property rights, or content depicting child sexual abuse material.
• Attempt to reverse-engineer, decompile, or otherwise access the source code of our hosted infrastructure (the open-source components of the Service, where applicable, are governed by their own licenses).
• Resell, sublicense, or white-label the Service without a written partnership agreement with us.
• Use the Service in any way that violates applicable law, including export controls and sanctions.

We may suspend or terminate accounts that violate this section without prior notice.

5. Your Content

You retain all rights to the tests, projects, screenshots, video recordings, and other content you create using the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to store, transmit, display, and process Your Content solely for the purpose of providing the Service to you.

We do not use Your Content to train AI models, sell it to third parties, or share it outside the third-party processors listed in our Privacy Policy.

6. Our Intellectual Property

The Service, including its design, branding, user interface, and underlying technology, is owned by Assertify and protected by intellectual-property laws. Nothing in these Terms transfers any ownership rights to you.

7. Beta Features

We may offer features labelled "beta", "preview", or similar. These features are provided as-is, may change or be removed at any time, and may carry stricter usage limits. Feedback you provide on beta features may be used to improve the Service without additional compensation.

8. Third-Party Services

The Service integrates with third-party services (Firebase, Stripe, Anthropic, etc.) as described in the Privacy Policy. Your use of those services is subject to their own terms. We are not responsible for the availability or behaviour of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING (BUT NOT LIMITED TO) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Test results produced by the Service are advisory only. You're responsible for verifying critical test outcomes before relying on them for business decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Assertify WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US DURING THAT PERIOD OR (B) USD 100.

11. Indemnification

You agree to indemnify and hold Assertify harmless against claims, damages, and expenses arising from (i) your violation of these Terms, (ii) your misuse of the Service, or (iii) content you upload that infringes a third party's rights.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends immediately; sections that by their nature should survive (IP, disclaimers, limitations of liability, indemnification, governing law) will survive.

13. Governing Law

These Terms are governed by the laws of {{GOVERNING_JURISDICTION}}, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved informally will be brought in the courts of {{COURTS_OF_VENUE}}, and you consent to their exclusive jurisdiction.

14. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated by email or via a banner in the Service at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Miscellaneous

• Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Assertify.
• Severability. If any provision is held unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce any provision is not a waiver of that provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger or acquisition.
